1. Acceptance of Terms
By accessing or using Invoicrm ("the Service"), provided by Invoicrm Inc. ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Service.
2. Description of Service
Invoicrm is a field service management platform that provides tools for managing leads, clients, quotes, jobs, invoices, and related business operations. The Service is provided on a subscription basis with various pricing tiers.
3. User Accounts
You must create an account to use the Service. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring all information provided is accurate and current
4. Free Trial
We offer a 30-day free trial for new users. During the trial period, you have full access to the features included in your selected plan.
- A valid payment method is required to start your trial
- You will not be charged during the 30-day trial period
- We will send a reminder email 3 days before your trial ends
- If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and your payment method will be charged
- You may cancel at any time during the trial period without charge
5. Payment Terms
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth herein. We reserve the right to change our pricing with 30 days' notice.
Payment processing is handled by Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.
6. Refunds & Cancellations
Free Trial Period
- All plans include a 30-day free trial
- You may cancel at any time during the trial without being charged
- The trial period is your opportunity to fully evaluate the Service before committing
After Trial Period
ALL FEES ARE NON-REFUNDABLE AFTER YOUR TRIAL PERIOD ENDS.
- Once your trial converts to a paid subscription, all charges are final and non-refundable
- You may cancel your subscription at any time to prevent future charges
- Upon cancellation, your access continues until the end of your current billing period
- We do not provide prorated refunds for unused portions of any subscription
Exceptions
In cases of significant service outages or technical issues that prevent you from using the Service for an extended period, you may contact us at hello@invoicrm.com. We may, at our sole discretion, provide account credit for the affected period.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Invoicrm Inc. and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of any content you upload to the Service.
8. Prohibited Uses
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit harmful code or interfere with the Service
- Attempt to gain unauthorized access to our systems
- Use the Service for any fraudulent or illegal purpose
- Resell or redistribute the Service without authorization
9. Limitation of Liability
IN NO EVENT WILL INVOICRM INC.'S TOTAL LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. No Guarantee of Results
We do not guarantee any specific results from using the Service. Your success depends on many factors outside our control, including your business practices, market conditions, and how you use the Service.
12. Data and Backups
While we implement reasonable measures to protect your data, you are responsible for maintaining your own backups. We are not liable for any data loss, corruption, or inability to access your data.
13. Service Modifications
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with 30 days' notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
14. Termination
We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
You may cancel your subscription at any time through your account settings. Upon cancellation, your access will continue until the end of your current billing period.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Ottawa, Ontario, Canada.
16. Indemnification
You agree to indemnify, defend, and hold harmless Invoicrm Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; or (d) your User Content.
17. Dispute Resolution
Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through the courts as specified in the Governing Law section.
You agree that any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
18. Changes to Terms
We reserve the right to update these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Invoicrm Inc. regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
